Atlas7 Cloud Portal Terms

Atlas7 Cloud Portal Terms

Atlas7 Cloud Licensing Self-Service Portal Terms

By executing a Quote that references these Cloud Licensing Self-Service Portal Terms (“Terms”), Client agrees to be bound by: (i) these Terms, (ii) the Solution Provider Terms listed below (“Pass Through Terms), and (iii) the Atlas7 Terms and Conditions available at www.atlas7.com/legal/sales-terms (“Master Terms”), all incorporated by reference.

The Master Terms govern, without limitation, governing law, jurisdiction, warranty disclaimers, Solution Provider obligations, limitations of liability, and remedies. If there is any conflict between these Terms and the Master Terms, the Master Terms control, except where these Terms specifically address use of the Cloud Portal.

The version of these Terms that applies is the version posted on the Atlas7 website as of the date the Client executes the Quote.

Pass Through Terms
By these Terms, Client agrees to the following pass-through terms of Solution Providers offered on the Atlas7 Portal. Atlas7 may modify the list of Solution Provider Terms at any time, and such modifications shall apply to any purchases made thereafter. Client's Obligation to Review: Client is solely responsible for reviewing and complying with all Solution Provider Terms. Client's use of any Cloud Solution constitutes acceptance of the applicable Solution Provider Terms.

Technical Support:
Atlas7 offers three support options as selected in the Purchase Order. “Free trial” license offers are not supported under any tier.

  1. No Support: Client handles all technical support. Any help from Atlas7 is a courtesy and does not create any obligation.

  2. Basic Support: Support is available via email. The Client must provide details including contact info, email domains, related SKU(s) and description of the issue. Support requests must originate from preauthorized team members, and Client must exhaust internal troubleshooting resources before contacting Atlas7. Atlas7’s average response time for Basic Support requests is one business day. Under Basic Support, Atlas7 may provide support directly or as a conduit to Solution Provider or third-party support resources.

  3. Premium Support: Premium Support is provided directly by a third-party provider and is subject to the Service Level Agreements and terms defined by that provider. Atlas7 does not guarantee or control the performance of Premium Support services.

Portal Access and Data Security:
Atlas7 makes reasonable efforts to ensure the availability and security of the Cloud Portal but does not guarantee uninterrupted or error-free access. Atlas7 is not liable for any data loss, security breaches, unauthorized access, or service interruptions, except to the extent caused solely by Atlas7’s gross negligence or willful misconduct.

Account Security:

Client is responsible for: (1) maintaining secure passwords and limiting portal access to authorized personnel only, (2) establishing internal approval processes for purchases, (3) monitoring account activity regularly, and (4) immediately disabling portal access for any personnel who leave Client's organization or whose authority is revoked.

Client is solely responsible for all purchases made through accounts Client has authorized, regardless of whether such purchases were intended or authorized by Client's management. Client must implement its own internal controls over employee purchasing authority.

Atlas7 may monitor account usage patterns and suspend purchasing privileges if unusual activity is detected pending verification with Client's authorized representatives.

Billing and Payment:
Atlas7 will bill the Client at the end of each billing cycle according to the then current subscription plans. No refunds or adjustments are provided for one-time fees, and changes to recurring fees within the current term are not refunded. Atlas7 can bill for Cloud Solutions up to 12 months after they were provided, except in the case of tax reassessments, which can happen anytime. Atlas7 reserves the right to bill immediately upon purchase rather than at cycle end for any account, particularly those with payment history concerns.

Client must maintain current billing contact information. Atlas7 will send payment notices to the email(s) on file. Failure to receive notices due to outdated contact information does not excuse payment obligations.

Security Deposit:
Atlas7 may require a security deposit for new accounts or accounts with payment issues. This deposit will be applied to final billing or refunded within 30 days after termination of all subscriptions. Atlas7 may impose spending limits. Purchases exceeding limits will require pre-authorization or will be cancelled.

Modification of Cloud Solutions and Pricing

Client Responsibility for Portal Changes:

Client is solely responsible for all modifications, purchases, and subscription changes made through the Cloud Portal by any authorized user. Atlas7 may provide purchase confirmation notifications as a courtesy but is not obligated to do so. Client should monitor its account activity regularly through the Portal.

Cancellation Window:

Atlas7 will honor requests to cancel if received within two (2) hours of an order and if not prohibited by the third-party supplier. Cancellation requests must: (1) come from an authorized contact on file, (2) be sent to support@atlas7.com, and (3) include the order number. After two hours, all sales are final unless otherwise agreed in writing.

Default and Remedies:
If the Client fails to pay on time, Atlas7 may suspend access to some or all Cloud Solutions in addition to pursuing all other available remedies, in Atlas7's sole discretion. Any suspension of services does not relieve Client of its obligation to pay all amounts due, including amounts accruing during any suspension period. Atlas7's decision not to suspend services does not constitute a waiver of any rights or remedies.

Past due amounts accrue interest at 1.5% per month (or the maximum rate permitted by law, whichever is less). Client is responsible for all costs of collection, including reasonable attorney fees.

Default under any other agreement between Client and Atlas7 constitutes default under these Terms, entitling Atlas7 to suspend all services and pursue any available remedies. Atlas7 may offset any amounts owed by Atlas7 to Client against amounts Client owes to Atlas7 under any agreement.

Subscription Term:
The initial term of many subscription plans (e.g., 1 month, 1 year) is followed by automatic renewals. Turning on/off renewals can be completed in the portal. Atlas7 can ensure automatic renewals are off if Client provides notice to cancel to support@atlas7.com fourteen (14) days’ before the end of the term.

Cancellation by Client:

  • Monthly Subscriptions: Billed for services up to the end of the then current term following the termination date.

  • Fixed-Term Subscriptions: No refunds. Atlas7 may bill for future scheduled payments immediately upon notice of termination.

  • Consumption Subscriptions: Can be canceled anytime, and usage before cancellation will be billed in the next cycle.

Disclaimer of Warranties:
The Cloud Solutions, the Cloud Portal, and all related services are provided “as is” and “as available” without warranties of any kind, express or implied. Atlas7 expressly disclaims all warranties, including without limitation warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or course of performance.

Solution Provider Liability:
Atlas7 is not responsible for the acts, omissions, performance, or nonperformance of any Solution Provider. Client’s sole recourse for issues relating to the Cloud Solutions is through the applicable Solution Provider pursuant to their Solution Provider Terms.
